Terms of Service

Agreement

By using a Recursive Systems service, product, or software offering, you agree to these terms. If you are acting for an organization, you represent that you have authority to bind that organization.

Services

Recursive Systems may provide:

• Technical advising for AI products, infrastructure, security, data, and operations.
• Product and system development including AI features, automations, integrations, and supporting infrastructure.
• Operations and maintenance for systems covered by an active agreement.
• DreamBeam and related software, which may have additional product terms.

The scope, deliverables, fees, schedule, support, and acceptance criteria for client work are defined in the applicable project agreement.

Your responsibilities

• Provide accurate requirements, timely decisions, and access needed to perform the work.
• Protect credentials, accounts, devices, and access granted to your organization.
• Confirm that you have the rights and permissions needed for data you provide or direct the systems to process.
• Use the services lawfully and follow the terms of connected third-party services.
• Review outputs before using them for consequential business, legal, financial, medical, employment, or safety decisions.

AI systems and outputs

AI systems can produce incomplete, inaccurate, or unexpected results. Unless a signed agreement states otherwise, outputs require appropriate human review before they are relied upon or sent to another person.

You are responsible for deciding whether a use case is appropriate and for any decision made from an output.

Third-party services

Work may connect to AI providers, hosting providers, communications tools, data services, and other third-party products selected for the engagement. Their availability, pricing, data handling, and terms are controlled by those providers. Recursive Systems is not responsible for a third party’s service outside the responsibilities stated in a signed agreement.

Fees and suspension

Fees and payment terms are stated in the applicable order or project agreement. Access may be suspended for overdue payment, unlawful use, a security risk, or a material breach, when reasonably necessary to protect the service, Recursive Systems, the client, or another party.

Data and intellectual property

You retain ownership of data you provide. Ownership and licenses for project deliverables are defined in the applicable project agreement.

Recursive Systems retains its pre-existing tools, frameworks, methods, and product software, including DreamBeam. Open-source and third-party components remain subject to their licenses and terms.

Confidential information

Each party will use reasonable care to protect confidential information received from the other and will use it only for the engagement, except when disclosure is authorized or required by law. A separate confidentiality agreement controls if one applies.

No warranty

Except for commitments in a signed agreement, services and software are provided “as is” and “as available” without warranties of any kind. Recursive Systems does not promise that a service will be uninterrupted, error-free, or suitable for every purpose.

Limitation of liability

To the fullest extent permitted by law, Recursive Systems LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data arising from use of the services or products.

Any additional liability terms in a signed agreement control for that engagement.

Termination

Either party may end an engagement as allowed by the applicable agreement. Provisions that by their nature should continue after termination, including payment, confidentiality, ownership, disclaimers, and liability limits, will continue.

Changes

These terms may be updated by posting a revised version and date. Active clients will be notified when a material change affects their engagement. Continued use after the effective date of revised terms constitutes acceptance unless another agreement says otherwise.
